TERMS OF SALE, EXCHANGE AND WEBSITE USE AGREEMENT

This Terms of Sale, Exchange and Website Use Agreement (“Agreement”) governs access to and purchases from www.enrichednart.com and all authorised sales channels operated under the brand enRiched-n-Art®, a premium fashion jewellery brand owned and operated by Enrichednart (OPC) Private Limited (“Company”, “we”, “our”, or “us”).

By accessing the website, placing an order, or making a purchase through any authorised channel (including exhibitions, social media platforms, or direct sales), the customer (“you” or “your”) agrees to be legally bound by this Agreement.

1. Brand Identity and Ownership

1.1 enRiched-n-Art® is a brand owned and operated by Enrichednart (OPC) Private Limited.
1.2 All transactions, sales, and contractual obligations are entered into with Enrichednart (OPC) Private Limited.
1.3 The Company reserves all rights not expressly granted under this Agreement.

2. Product Representation and Nature

2.1 Product images displayed on the website or marketing materials are for illustrative purposes only.
2.2 Minor variations in tone, finish, placement, or material characteristics may occur.
2.3 Such variations shall not constitute a manufacturing defect, misrepresentation, or deficiency of service.
2.4 Product longevity depends on usage conditions, storage practices, and environmental exposure.

3. Pricing and Payment Terms

3.1 All prices are listed in Indian Rupees (INR).
3.2 Full payment is required prior to dispatch unless otherwise agreed in writing.
3.3 The Company reserves the right to:
3.3.1 Modify pricing without prior notice;
3.3.2 Cancel orders arising from pricing errors;
3.3.3 Cancel orders due to stock unavailability;
3.3.4 Cancel or hold orders suspected of fraudulent activity.

4. No Return and No Refund Policy

4.1 All sales are final.
4.2 The Company does not offer returns or refunds in cash, credit, digital reversal, bank transfer, or any other monetary form.
4.3 Notwithstanding Clause 4.2, the Company may, purely as a voluntary gesture of goodwill and at its sole and absolute discretion, consider granting a monetary adjustment in rare and exceptional circumstances.
4.4 Any such goodwill accommodation:
4.4.1 Shall not create a legal right or entitlement;
4.4.2 Shall not constitute a precedent;
4.4.3 Shall not modify this Agreement;
4.4.4 Shall not create any continuing obligation.

5. Exchange Policy (Metal Components Only)

5.1 Exchange eligibility applies strictly to verified manufacturing defects relating to metal components only.
5.2 One Hundred Percent (100%) Exchange Eligibility
5.2.1 Applicable where a verified defect is reported within thirty (30) days from the date of purchase.
5.3 Up to Seventy-Five Percent (75%) Exchange Eligibility
5.3.1 Applicable where a verified defect is reported after thirty (30) days but within six (6) months from the date of purchase.
5.4 All exchange approvals, valuations, and determinations shall be at the sole and absolute discretion of the Company.
5.5 The following are expressly excluded from exchange eligibility:
5.5.1 Resin portions or aesthetic elements;
5.5.2 Back nut malfunction, rusting, loosening, or loss;
5.5.3 Normal wear and tear;
5.5.4 Damage due to moisture, perfume, chemicals, sweat, impact, or mishandling;
5.5.5 Third-party repairs or alterations;
5.5.6 Claims raised beyond stipulated timelines.

6. Exchange Procedure

6.1 Customers must submit clear video and/or photographic evidence along with valid proof of purchase.
6.2 The Company reserves the right to require physical inspection of the product.
6.3 Failure to comply with submission requirements may result in rejection of the claim.

7. Mode of Exchange

7.1 Approved exchanges shall be issued in the form of a coupon, gift card, or voucher.
7.2 Such instrument shall:
7.2.1 Be redeemable exclusively at www.enrichednart.com;
7.2.2 Be non-transferable;
7.2.3 Not be redeemable for cash;
7.2.4 Be subject to validity conditions communicated at issuance.
7.3 Any price difference shall be borne by the customer at the time of redemption.

8. Limitation of Liability

8.1 The maximum liability of the Company shall not exceed the original purchase price of the product concerned.
8.2 Under no circumstances shall the Company be liable for indirect, incidental, consequential, punitive, or special damages.

9. Intellectual Property Rights

9.1 All designs, brand names, packaging concepts, logos, content, photographs, and marketing materials are the exclusive intellectual property of Enrichednart (OPC) Private Limited.
9.2 Any unauthorised copying, reproduction, commercial replication, imitation, workshop teaching for resale purposes, or distribution without written consent is strictly prohibited and may invite legal action.

10. Consumer Protection Compliance

10.1 This Agreement is framed in accordance with the Consumer Protection Act, 2019 and applicable laws of India.
10.2 Nothing herein shall be construed to restrict any non-waivable statutory rights under applicable law.
10.3 Claims falling outside the scope of this Agreement shall not constitute deficiency of service.
10.4 Any goodwill gesture under Clause 4.3 shall not be treated as admission of liability.

11. Indemnification

11.1 The customer agrees to indemnify and hold harmless Enrichednart (OPC) Private Limited from any claims, losses, damages, or expenses arising out of misuse, negligence, or violation of this Agreement.

12. Dispute Resolution

12.1 The customer agrees to first notify the Company in writing for amicable resolution prior to initiating formal legal proceedings.
12.2 The parties shall attempt good faith resolution before escalation.

13. Governing Law and Jurisdiction

13.1 This Agreement shall be governed by the laws of India.
13.2 Exclusive jurisdiction shall vest in the competent courts of Bengaluru, Karnataka.

14. Modification of Terms

14.1 The Company reserves the right to amend, modify, or update this Agreement at any time without prior notice.
14.2 Continued use of the website or purchase of products constitutes acceptance of revised terms.
